Invitation Pass

Terms of service

Effective 22 September 2026

These terms (the “Terms”) govern use of the Shopify app Invitation Pass (the “App”) provided by KARYOGRAM Inc. (株式会社KARYOGRAM) (“we”). The operator of a store that installs the App (the “Merchant”) is taken to have agreed to these Terms.

1. What the App does

The App receives membership applications on the Merchant’s store, supports the review of those applications, prevents customers who are not yet approved from purchasing, and sends the related emails.

2. Fees

  1. Fees for the App are as shown on its Shopify App Store listing and are billed through Shopify.
  2. A store installing for the first time gets the free trial stated in the pricing plan.
  3. The Merchant may cancel at any time by uninstalling the App. Fees already paid are not refunded, in whole or pro rata, except where the law requires it.
  4. We will give the Merchant at least 30 days’ notice before changing the fees.

3. The Merchant’s responsibilities

  1. The Merchant is responsible for complying with applicable law when collecting and using personal information from its own customers, including giving any required notices and obtaining any required consent.
  2. The Merchant decides, on its own responsibility, whether to approve or reject an application, what the emails say, and which fields the registration form has.
  3. The Merchant is responsible for managing what personal information is sent to any destination it configures under “Integrations”.

4. Personal information

We handle personal information about the Merchant’s customers in accordance with our privacy policy, within the scope entrusted to us by the Merchant.

5. Prohibited conduct

6. Suspension and changes

We may suspend the App in whole or in part for maintenance, in the event of a fault, or where otherwise unavoidable. Where a change to its features would significantly affect the Merchant, we will give notice beforehand.

7. No warranty

We do not warrant that the App is fit for the Merchant’s particular purpose or that it will be free of faults. We will, however, make reasonable efforts to fix faults.

8. Limitation of liability

Except in cases of our wilful misconduct or gross negligence, our total liability to the Merchant is limited to the fees the Merchant paid us in the three months immediately before the loss arose.

9. Termination

If the Merchant breaches these Terms, we may end provision of the App after giving notice. Data belonging to a store whose use has ended is deleted as set out in the privacy policy.

10. Changes to these Terms

If we change these Terms, we will announce the change and its effective date inside the App or on this page. Using the App on or after the effective date is taken as agreement to the revised Terms.

11. Governing law and jurisdiction

These Terms are governed by the laws of Japan. The Yokohama District Court has exclusive jurisdiction at first instance over any dispute relating to the App.
